I also wanted to tell you some things I know about starting an LLC. Nevada & Delaware are both great for registering corps in.The 2 best in the US. But there are some things that you should know before you decide which one to choose. In Delaware they tax the proportion of corp. earnings in Delaware. And Nevada is tax free! Delaware & most every other state has an annual franchise tax. Nevada again is tax free! Delaware requires an annual report of Stockholder meeting dates,business locations out of Delaware,and the number and value of shares issued. Nevada only asks for a list of officers & directors.But in both states the officers & directors can be a single individual person. And you don't have to make up other people or meeting info. I think Nevada provides alot better personal liability protection. Nevada also allows bearer shares. Delaware like most states shares tax info with the IRS. Nevada does not! This is why so many corps trying to evade taxes register in Nevada! Only thing is that Nevada corps. are sometimes subject to audits a little more frequently than Delaware and other states. But I really think as long as you follow the rules Nevada is the best place to register your corp or LLC. You don't have to reside in Nevada or Delaware to register your Corp. But what ever state or country you are operating in. You will want to check and make sure that you don't have to register there also as a foreign corporation. Because should you ever need to bring action to court. You might not be allowed to OR: they might impose fines or make you pay whatever taxes you should of paid over the time you have been doing business there.Before you can take legal action there. So Check your state or location.After you file in Nevada or Delaware.I hope this info helps! There are alot of other things that the 2 states do to attract corps.These are just a few things that are important that they differ in! Hope this helps! Also when you do want to register. Go to the yellow pages online. Call around to find a Local Corp Lawyer. And it will cost you less because he is local.At least it will be cheaper than some online Firm would charge you!
